These Terms of Service ("Terms") are a legal agreement between you and DeedTrack LLC, a Virginia limited liability company ("DeedTrack," "we," "us"). They govern your use of the DeedTrack website and application at deedtrack.io (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
DeedTrack is a software tool for record-keeping, amortization tracking, and payment facilitation for owner-financed real estate transactions, including contract-for-deed and similar seller-financed arrangements.
Any figures the Service produces — including payment schedules, amortization, interest allocations, balances, late fees, payoff amounts, and tax statements — are calculated from information you enter and are provided for convenience only. You are responsible for independently verifying their accuracy before relying on them.
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate information and to keep your login credentials confidential. You are responsible for all activity under your account. Notify us promptly at the contact address below if you suspect unauthorized access.
The Service supports three account types: investors (property owners/sellers who manage loans), buyers (purchasers making payments), and members (people an investor invites to view or help administer their account, such as a bookkeeper, assistant, or property manager). Buyer accounts are linked to loans created by an investor.
If you invite a member, you are responsible for who you give access to and for what they do in your account. A member can see your buyers’ personal information, loan terms, and payment history, and depending on the level of access you choose may also add or change records. You are responsible for having any consent or authority you need to share that information with them, and for removing access when it is no longer appropriate. Members cannot access your bank account details or payment processing connection.
If you use the Service as an investor, you are solely responsible for the legality and accuracy of the transactions you record and administer. Without limitation, you are responsible for:
Ensuring that your loan terms — including interest rates, late fee amounts, grace periods, escrow handling, service fees, and payoff terms — comply with all applicable federal, state, and local law, including usury limits, late-fee caps, minimum grace periods, disclosure and notice requirements, and any licensing or registration obligations that may apply to seller financing (which may include, without limitation, the Dodd-Frank Act, the SAFE Act, and state-specific statutes).
Ensuring your written agreements with buyers authorize the fees and charges you record in the Service, and that any communications you send through the Service are lawful and consented to.
The accuracy of all data you enter, including buyer information, property information, loan terms, payment history, and any charges you add.
Obtaining any legal, tax, or professional advice you need. The Service lets you configure settings such as late fee percentage and grace period; it does not determine, verify, or endorse whether your chosen values are lawful in your jurisdiction.
The Service can prepare annual mortgage interest statements in IRS Form 1098 format from the payment records in your account, and make them available to your buyers.
These are prepared for your and your buyer’s records. DeedTrack does not file anything with the IRS or any state tax authority on your behalf, and does not determine whether you are required to file. Whether a reporting obligation applies to you, what must be filed, and when, are matters for you and your tax adviser. The figures are calculated from the data in your account, and you are responsible for checking them before issuing or relying on a statement.
If you use the Service as a buyer, your account shows information supplied by your seller/investor. Your underlying purchase agreement — not DeedTrack — governs your obligations. If you believe information shown is inaccurate, contact your seller directly; DeedTrack cannot modify or adjudicate the terms of your agreement.
Payments from buyers to investors are processed by Stripe, Inc. and are subject to Stripe's terms. Funds move directly to the investor's connected Stripe account. DeedTrack never holds, escrows, or takes custody of buyer payment funds and takes no portion of them.
Payment processing fees may be charged in connection with a transaction and are disclosed at the time of payment. If a buyer enables automatic payments, that buyer authorizes recurring charges to the saved payment method on each scheduled due date until auto-pay is turned off. Payments may fail, be delayed, returned, or reversed; DeedTrack is not responsible for such events or for any resulting fees, and recording a payment in the Service is not a guarantee that funds have cleared.
Refunds, disputes, chargebacks, and collection of amounts owed are matters between the investor and the buyer.
The Service can print and post physical letters on your behalf through a third-party mail provider, including by certified mail with proof of delivery. You compose the letter, you choose the recipient and the mail class, and you are charged for each letter you send.
Printed mail is a printing and posting service, not a legal notice service. DeedTrack does not review your letters, does not advise on whether a notice is legally sufficient, and does not confirm that sending one satisfies any statutory or contractual requirement. Default notices, notices to cure, forfeiture notices, and similar communications are frequently subject to strict rules on content, timing, method of delivery, and proof. Whether a letter sent through the Service meets those rules in your jurisdiction is your responsibility, and you should consult your attorney before relying on one.
We do not guarantee that any letter will be printed, posted, delivered, or delivered within any particular time, or that tracking or proof of delivery will be available or accurate. Delivery depends on the mail provider and the postal service, neither of which we control. If a letter fails to print or post, our sole responsibility is to refund the amount charged for that letter.
Charges for printed mail are in addition to your subscription, are billed as you send, and are non-refundable once a letter has been submitted for printing, except as stated above.
Investor accounts require a paid subscription. Current plans are Standard ($29.99/month, up to 49 active loans) and Pro ($49.99/month, 50 or more active loans). New subscriptions may include a free trial period; unless canceled before the trial ends, the subscription automatically converts to a paid plan and your payment method is charged.
Subscriptions renew automatically each month until canceled. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and we do not provide partial or prorated refunds for unused time. If your loan count exceeds your plan's limit, you may be required to upgrade. We may change pricing with reasonable advance notice; changes apply to subsequent billing periods.
By creating an account, you agree to receive service-related communications by email (such as account, payment, and servicing notices). Text messaging is optional and requires separate opt-in; see our SMS Terms & Consent. You may opt out of texts at any time by replying STOP.
Automated messages sent by the Service — including payment reminders, past-due notices, welcome emails, and payment failure alerts — are sent from an unmonitored address. Buyers with questions about their loan, payments, or account must contact their seller/investor directly.
You are responsible for any file you upload and for having the right to store it. You agree not to use the Service to violate any law; to record or facilitate fraudulent, predatory, or unlawful lending practices; to upload malicious code; to attempt to gain unauthorized access to the Service or other users' data; to scrape or copy the Service; or to interfere with its operation. We may suspend or terminate accounts that violate these Terms.
The Service, including its software, design, and content, is owned by DeedTrack LLC and protected by law. You receive a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. You retain ownership of the data you enter, and you grant us the right to host and process it in order to provide the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that calculations, notices, or automated payments will always be accurate, timely, or delivered.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEDTRACK LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless DeedTrack LLC from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your data, your agreements or dealings with buyers or investors, or your violation of these Terms or of any law.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to comply with law. Upon termination, your right to use the Service ends. You are responsible for exporting or retaining any records you need; we are not obligated to retain your data indefinitely after termination.
We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising from these Terms or the Service will be the state or federal courts located in or serving Virginia Beach, Virginia, and you consent to their personal jurisdiction.
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and DeedTrack regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
